BYLAWS OF THE GODWIN
HEIGHTS BAND ASSOCIATION
Wyoming,
Michigan
Adopted July 28, 2003
ARTICLE I – NAME
The name of the organization shall be the Godwin Heights
Band Association, Wyoming, Michigan.
ARTICLE II – VISION
STATEMENT
Empowering our children for the future through music, to
build character, work ethic, and teamwork to perform quality music and to
provide a range of educational experiences.
ARTICLE III – PURPOSE
- To
support the Band Directors.
- To
promote the band program at the High School and Middle School levels
through:
- Public
awareness
- Financial
support
- Volunteerism
ARTICLE IV – BASIC
POLICIES
The following are the basic policies of the Godwin Heights
Band Association:
- This
organization shall be non-commercial, non-sectarian, and non-partisan.
- The
name of this organization or the names of any members in their official
capacities shall not be used to endorse or promote a commercial concern or
in connection with any partisan interest or for any purpose not
appropriately related to the promotion of the objects of the organization.
- This
organization shall not – directly or indirectly – participate or intervene
in any political campaign on behalf of, or in opposition to; any candidate
for public office, or devote more than an insubstantial part of its
activities to attempting to influence legislation by propaganda or
otherwise.
- No
part of the net earnings of the organization shall inure to the benefit
of, or be distributed to its members, directors, trustees, officers or
other private persons except that the organization shall be authorized and
empowered to pay reasonable compensation for services rendered and to make
payments and distribution in furtherance of the purpose set forth in
Article II hereof.
- In the
event that the Godwin Heights Band Association were to dissolve, any money
in the treasury would be transferred to the Band Director(s) Activity Fund
in the school’s account with the stipulation that all budgeted line items
be paid out before any discretionary spending.
ARTICLE
V – MEMBERSHIP
- Membership
in the Godwin Heights Band Association shall be available to any
interested person without regard to
race, creed, gender, disability, age, cultural/ethnic diversity, religion, or
national origin, who is willing to uphold the purposes and policies listed.
- All
students in the Godwin
Heights band program
are voting members of the Godwin Heights Band Association.
- All
adults who reside in the Godwin Heights School District,
all Godwin Heights School
District alumni, and all adults affiliated
with a member of the Godwin Heights Band Program are eligible for voting
membership by completing a registration form. No dues are required for this
membership.
- The
membership year shall last from the first day of August through the last
day of July the following year.
- Privileges
of holding office, serving as chairperson of standing or special
committees or serving on committees shall be reserved for members who have
students currently in the band program.
ARTICLE VI – OFFICERS
AND THEIR ELECTION
Section 1.
- Each
officer shall be a registered member of the Godwin Heights Band
Association.
Section 2.
- The
officers of this organization shall be president, vice president,
secretary and treasurer.
- Officers
shall be elected annually in the month of May. However, if there is but one nominee for
any office, upon motion from the floor, the election may be by voice vote.
- Officers
shall assume their official duties on the first day of July and shall
serve the term of one year and shall remain in office until their
successor assumes office.
Addendum: For the first term of office only the elected
officers shall serve from
March 2003
until the last day of July 2004.
- A
person shall not serve more than two consecutive terms in the same office,
unless no other candidates are willing to serve.
- The
Executive Board will declare a vacancy in any elected position if such
officer is (1) absent for three consecutive meetings or (2) resigns during
the term in office.
- A
vacancy occurring in any office shall be filled for the rest of the term
by a person elected by a majority vote of the remaining members of the
General Membership with notice of such election having been given. In case a vacancy occurs in the office
of president, the vice president shall serve notice of the election. When a chairmanship becomes vacant, new
volunteers will be named.
- The
resignation from an office must be in writing.
Section 3.
- In
March of each year, the President shall appoint a Nomination Committee
consisting of two members of the Godwin Heights Band Association and the
Band Director.
- The
Nomination Committee shall nominate one candidate for each office,
(president, vice president, treasurer, secretary) to be filled and report
its nominees at the regular meeting in April.
- Following
the report of the nomination committee, an opportunity shall be given for
nominations from the floor.
- Only
those who have signified their consent to serve shall be nominated for or
elected to such office.
- All
registered members of the Godwin Heights Band Association are eligible to
vote.
ARTICLE VII – DUTITES
OF THE OFFICERS
Section 1. The
President shall;
- Prepare
the agendas for and preside at all meetings of the Association and
Executive Board.
- Be a
member ex-officio of all committees except nominating and auditing
committees.
- Perform
such other duties as may be prescribed in these Bylaws or assigned him/her
by the organization or by the Executive Board.
- Coordinate
the work of officers and committees, in order that objectives may be
promoted.
- Attend
appropriate meetings called by the organization or arrange for his/her
duty elected alternate to attend.
Section 2. The
Vice President shall:
- Act as
an aide to the President and perform the duties of the President in the
absence or disability of that officer to act.
- Perform
such duties as may be prescribed in these Bylaws or assigned him/her by
the organization or by the Executive Board.
- May
co-sign checks with the Treasurer.
Section 3. The
Secretary shall:
- Keep
an accurate record of all meetings of the organization and of the
Executive Board.
- Conduct
the official correspondence of the Godwin Heights Band Association as well
as any other correspondence delegated to him/her.
- Keep a
correct list of the entire membership.
- Present
accurate record at every meeting of the organization and at other times
when requested by the Executive Board.
- Publicize
meeting dates, times and locations in written form, this will include
e-mails to members who have registered e-mail addresses.
- May
co-sign checks with the Treasurer.
Section 4. The
Treasurer shall:
- Keep
a full and accurate account of receipts and expenditures.
- Have
checks signed by two persons, the Treasurer and either the Secretary or
the Vice President.
- Make
disbursements as authorized by the organization or the Executive Board.
- With
the concurrence of at least one other member of the Executive Board, make
disbursements up to $100 without a general membership vote. Such transactions must be reported as
information items at the next regularly scheduled meeting of the Godwin
Heights Band Association. In the
event that Board Members are related a trustee will be named to co-sign
checks. The trustee will be elected
by vote of the general membership.
- Present
a financial statement at every meeting of the organization and at other
times when requested by the Executive Board.
- Prepare
a fiscal year budget to the Executive Board no later than that of the
regular September meeting.
Section 5. The
treasurer’s accounts shall be examined annually by an auditing committee of not
less than three members and not more than 5 members, who, satisfied that the
treasurer’s annual report is accurate, shall sign a statement of that fact at
the end of the report. The executive
board shall solicit volunteers during the April member meeting and the audit
shall be completed before the last day of July.
No member of the executive board shall sit on the auditing
committee. A relative of the Treasurer
is not eligible to participate in the auditing committee.
Section 6. The
officers shall:
- Perform
the duties prescribed in the parliamentary authority in addition to those
outlined in these Bylaws and standing rules.
- Answer
correspondence promptly and keep complete correspondence files.
- Deliver
to their successor all official material no later than ten days following
the expiration of their term of office.
- Successors
shall attend the July Executive Board meeting where officers shall ensure
a smooth transition.
- Make
available to the school and any member of the general membership group all
meeting minutes of the executive board.
ARTICLE VIII –
EXECUTIVE BOARD AND GENERAL MEMBERSHIP GROUP
Section 1. The
executive board shall consist of the officers (president, vice president,
treasurer, secretary, and band directors in ex-officio capacity).
Section 2. The
duties of the executive board shall be:
- To
transact necessary business of the organization.
- To
register the signature of the Treasurer, Secretary, Vice President and
Trustee if appointed for all accounts at the bank.
- To
create standing committees, approve their work plans, and to present a
report at the regular meeting of the organization.
- To
discuss allocation of funds.
- To
prepare and submit to the organization for approval a budget for the
fiscal year.
- To
approve routine bills within the limits of the budget.
Section 3. The
general membership shall consist of these four members plus all other
registered members present at each meeting.
These persons have the privilege of making motions and voting.
Section 4. Regular
meeting of the general membership shall be held monthly during the school
year. The president may call special
meetings of the general membership.
ARTICLE IX – MEETINGS
Section 1. Regular
meetings of the organization shall be held monthly during the school year
unless otherwise provided by the organization or the executive board. One week notice shall be given of change of
days.
Section 2. The
executive board may call special meetings of the Executive Board, two days notice
being given.
Section 3. A
simple majority of those voting members present shall constitute a quorum for
the transaction of business in any meeting of this organization.
Section 4. Request
for by-law changes must be made in writing and will be discussed for a minimum
of 2 consecutive membership meetings.
Recommendations come to a vote will require 30 days written notice to
all members that a vote will occur.
ARTICLE X –
COMMITTEES
Section 1. The
executive board may create committees it may deem necessary to promote the
objects and carry on the work of the organization.
Section 2. The
chairpersons of all committees shall present plans of work to the executive
board and no committee work shall be undertaken without the approval of the
executive board.
Section 3. Special
committees may be formed by the authorization of the organization by formal
resolution; by action of the executive board or by the president. The president with the approval of the
executive board shall appoint the chairperson and the members.
Section 4. The
president shall be a member ex-officio of all committees except the nominating
and auditing committee.
ARTICLE XI – FISCAL
YEAR
The fiscal year of the Godwin Heights Band Association shall
be from August 1 and end on the following July 31.
ARTICLE XII –
PARLIMENTARY AUTHORITY
The rules contained in the current edition of Robert’s Rules
of Order shall govern the Godwin Heights Band Association in all cases in which
they are applicable and in which they are not in conflict with these Bylaws.
ARTICLE XIII –
AMENDMENTS
Section 1. The
affirmative vote of a majority of the active membership present at any
announced meeting shall be required to amend these Bylaws.
Section 2. A
committee may be appointed to submit a revised set of Bylaws as a substitute
for the existing Bylaws only by majority of the active membership present at
any announced meeting, or by two-thirds (2/3) vote of the executive board. The requirements for adoption of a revised set
of Bylaws shall be the same as in the case of an amendment.
